Cash Reserves and Financial SupportFinancial support:The Company entered into a loan agreement with Elitesoft Asia, a company related to Mr Chang Ku EE, the majority shareholder and a director of the Company, pursuant to which Elitesoft provides a loan facility of $250,000 to the Company at 8% interest (Hong Kong Monetary Authority Base Rate + 4%), which can be increased to US$1,000,000 subject to approval by Iperion’sshareholders.Mr EE confirmed that he will provide financial support to the Company, if required to meet its working capital obligations and liabilities as they fall due, for at least a period of 12 months from the date of approval of the Company’s financial statements (30 Jun 2026).Initiatives to conserve cash reserves:Since January 2026, payment on 50% of directors’ fees and 33% of the management fee are being deferred, until sufficient sales are achieved to move the company to a positive cash flow position.

Manufacturing FacilitiesOutsource Manufacturing Plant:The fixed annual fee on the Pathoglaze outsource manufacturing plant fees for the financial year to March 2026 was fully discounted by the vendor and will be fully discounted through to March 2028.The vendor is in the process of moving the manufacturing plant from Malaysia to Singapore. The equipment is currently in storage. Sufficient Pathoglazecompound has already been manufactured and is available to fill sales orders until the plant is setup again. In the interim, ongoing product development is being supported from the Licensor’s facilities in Singapore where smaller product batches can also be manufactured if needed.In recognition of the collaborative efforts undertaken between the inventor of Pathoglaze and Iperion, agreement was reached to permanently waive the customer and revenue performance targets under Iperion’s exclusive world-wide license.

Progress and current activitiesWork undertaken during the year ending March 2026 mainly focused on completing the development of Pathoglaze infused polymer jute bags used for shipping cocoa and coffee beans. This work was being undertaken in collaboration with a multinational chocolate manufacturerProduct tests and trials for specific applications continue with potential customers as they arise.With support from Mr EE, directors have also been investigating a range of alternative product and sales opportunities for the company.

Pathoglaze is a durable, high potency, anti-microbial product capable of being incorporated into raw materials for other products at the point of manufacture.For example it can be incorporated in plastics masterbatch powders prior to product moulding or it can be applied to existing products as a thin film coating.
