The Transaction is expected to close on or before December 15, 2025.Upon completion, Quorum’s common shares will be delisted from the TSX Venture Exchange.

A More Profitable Growth Strategy with a Decrease in Long-Term DebtQuorum’s improved profitability has provided the latitude to accelerate the pay down of its BDC Capital Inc. Loan Facility.Earlier than originally planned, Quorum prepaid $0.8 million in principal and interest on the Cash Flow Loan portion of its BDC Capital Inc. Loan Facility in Q2 2025 - which is now fully repaid. The remaining Mezzanine Loan portion of the BDC Capital Inc. Loan Facility was $2.8 millionat September 30, 2025.Long Term Debt (at September 30, 2025):■Government Loans (unsecured)•ACOA Loans of $1.1 million at 0% interest■BDC Capital Inc. Non-GAAP Measures 14 The following is a list and definition of the non-GAAP measures (NGMs) used within this presentation. A full reconciliation of these non-GAAP measures to their corresponding GAAP measures, as well as the stated usefulness of these non-GAAP measures can be found in Quorum’s 2024 Annual MD&A.Annual Revenue Run Rate – this represents the total revenue in the last quarter of the current period, multiplied by 4.
